1. Acceptance of Terms
By creating an account, placing an order, or otherwise using StanDeliver's platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and StanDeliver ("we," "us," "our").
2. Description of Service
StanDeliver is a technology platform that enables Customers to order food and beverages from independent Vendors operating at participating schools, colleges, and stadiums ("Venues"), for in-seat delivery or express pickup. StanDeliver facilitates these orders and routes payment to Vendors — StanDeliver is not itself a restaurant, caterer, or food seller, and does not prepare, own, or take title to any food or beverage items sold through the Service.
3. Accounts
To use certain features of the Service, you may need to create an account or provide contact information. You agree to provide accurate information and are responsible for activity that occurs through your account or provided contact channels (including phone number, for SMS order updates).
4. Orders, Vendors, and Payment
Vendors are independent businesses, not StanDeliver employees or agents. Vendors are solely responsible for the preparation, quality, safety, and accuracy of the food and beverages they sell. StanDeliver facilitates payment through third-party payment processors (Stripe and/or Square) via connected-account arrangements; funds for an order are routed to the Vendor's connected account, less any applicable platform service fee. StanDeliver does not store full payment card numbers on its own servers.
5. Minors
Many of our Venues are high schools, and a portion of our Customers are minors. Use of the Service by a minor is permitted only for the purpose of placing food and beverage orders at a Venue the minor is attending, and only to the extent consistent with our Privacy Policy's handling of minors' information, including COPPA considerations for users under 13. 6. SMS Communications
By providing a mobile number, you consent to receive transactional SMS messages about your order (confirmations, ready-for-pickup/delivery alerts), consistent with our Privacy Policy and applicable law (including TCPA). Message and data rates may apply.
7. Vendor Independence; No Employment Relationship
Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between StanDeliver and any Vendor, Venue, or Venue staff member. Vendors independently control their own menu, pricing, staffing, and food safety practices.
8. Cancellations and Refunds
Order cancellation and refund eligibility are governed by our Refund Policy, which is incorporated into these Terms by reference.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. StanDeliver does not warrant that the Service will be uninterrupted, error-free, or that any Vendor's food or beverages will meet your expectations; food preparation, quality, and safety are the Vendor's sole responsibility.

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STANDELIVER'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT OF PLATFORM SERVICE FEES YOU PAID TO STANDELIVER (AS DISTINCT FROM THE FULL ORDER VALUE, WHICH IS OWED TO THE VENDOR) IN THE TWELVE MONTHS PRECEDING THE CLAIM.
[Attorney note: confirm this liability cap and its "platform fee only" scope is enforceable in Texas and appropriately paired with Vendor-facing agreements that place food-safety liability on the Vendor.]
11. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

We may update these Terms periodically. Material changes will be reflected in an updated "Last Updated" date once this document is finalized.
